End-User License Agreement

Vetrix

End-User License Agreement

Date: October 2026

This End-User License Agreement ("Agreement") governs access to and use of the Vetrix Waste Management software platform ("Platform"), operated by Vetrix Waste Management ("Vetrix," "we," "us," or "our").

By accessing or using the Platform, you agree to this Agreement. If you do not agree, you must not use the Platform.

1. Description of the Platform

The Platform is a business management application designed to support waste management operations, including dumpster rentals, portable toilet rentals, customer and vendor management, job scheduling, invoicing, reporting, and related administrative functions.

The Platform may integrate with third-party services, including QuickBooks Online and Sola Payments, for accounting and financial record synchronization.

2. License Grant

Subject to compliance with this Agreement, Vetrix grants authorized users a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for legitimate business purposes.

The Platform is licensed, not sold. Vetrix retains all rights not expressly granted.

3. Authorized Users

Access is limited to individuals expressly authorized by Vetrix or by an organization permitted to use the Platform.

Users agree to:

  • Maintain the confidentiality of their login credentials.
  • Provide accurate information.
  • Use the Platform only for authorized business activities.
  • Notify Vetrix promptly of suspected unauthorized access.
  • Comply with applicable laws and regulations.

Users must not attempt to bypass security controls, access unauthorized information, reverse-engineer the Platform, or interfere with its operation.

4. Customer and Business Data

Users may enter or access customer information, vendor details, service addresses, job records, invoices, financial information, and operational documents.

Users are responsible for ensuring they have the necessary authorization to submit or access such information.

As between Vetrix and an authorized business customer, that customer retains its rights to its business data. The customer grants Vetrix the permissions reasonably necessary to host, process, transmit, and display that data to provide the Platform.

5. QuickBooks Online Integration

The Platform may allow authorized users to connect a QuickBooks Online account through Intuit's authorization process.

When the integration is enabled, Vetrix may transmit supported customer records, invoices, payment information, and related accounting data to QuickBooks Online.

Users acknowledge that:

  • They must have authorization to connect the relevant QuickBooks company.
  • Data transmitted to QuickBooks is also subject to Intuit's applicable terms and privacy policies.
  • Synchronization may be delayed, interrupted, or unsuccessful due to technical issues.
  • Users remain responsible for reviewing the accuracy of their accounting records.

Vetrix does not represent that it is affiliated with or endorsed by Intuit. QuickBooks is a trademark of Intuit Inc.

6. Third-Party Services

The Platform may depend on third-party hosting, mapping, communication, document-storage, accounting, or payment services.

These services may be subject to their own terms and conditions.

Vetrix is not responsible for outages or failures caused by independent third-party systems beyond its reasonable control.

7. Intellectual Property

The Platform, including its software, design, workflows, documentation, branding, and related intellectual property, belongs to Vetrix or its licensors.

Nothing in this Agreement transfers ownership of the Platform to users.

8. Availability and Modifications

Vetrix may update, improve, suspend, or modify Platform features for operational, maintenance, security, or legal reasons.

We do not guarantee uninterrupted or error-free availability.

9. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform is provided "as is" and "as available," without warranties of any kind, whether express or implied.

Vetrix does not guarantee that the Platform will meet every business requirement or that all calculations, synchronization results, or third-party integrations will be error-free.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Vetrix will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business opportunities, or loss of data, arising from use of the Platform.

Nothing in this Agreement excludes liability that cannot lawfully be excluded.

11. Termination

Vetrix may suspend or terminate access where a user violates this Agreement, presents a security risk, or is no longer authorized to use the Platform.

Upon termination, the user's license to access the Platform ends. Business records may be retained or deleted in accordance with applicable law, contractual obligations, and the Privacy Policy.

12. Governing Law

This Agreement is governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where mandatory applicable law provides otherwise.

13. Changes to This Agreement

Vetrix may update this Agreement periodically. Updated terms will be published with a revised effective date.

Continued use of the Platform after changes become effective constitutes acceptance to the extent permitted by applicable law.
